Microsoft Labels OpenAI a ‘Frenemy’ in Recent SEC Filing Amid Antitrust Investigations

Microsoft and OpenAI have a complicated relationship, with Microsoft’s most SEC filing suggesting more of a rivalry than a genuine collaboration. Microsoft demonstrated an unusual dual position by naming OpenAI as both a rival and a “strategic partner” in the July 10-K report. This file highlights Microsoft’s competitive environment by referencing competitors such as Apple and Nintendo. However, OpenAI is the only strategic partner mentioned in the paper.

Exclusive Partnership and Investments

A closer look at the document shows 72 mentions of the word “partner,” including variations. Surprisingly, none of these references name any partners other than OpenAI. This emphasis coincides with antitrust probes concerning Microsoft and OpenAI’s cooperation in the US, UK, and EU.

Microsoft invested $1 billion in OpenAI in 2019 before ChatGPT launched in order to obtain the exclusive cloud hosting rights. Microsoft contributed an extra $10 billion in OpenAI after ChatGPT launched. 

This investment granted early and semi-exclusive access to integrate GPT-4 into Microsoft’s Copilot and Bing services. Meanwhile, OpenAI faced internal turmoil in 2023, with CEO Sam Altman briefly ousted. During this period, Microsoft pledged to hire Altman and any other departing OpenAI employees, promising them their division within Microsoft.

Altman returned to OpenAI, and the board was restructured to include a Microsoft observer seat. However, eight months later, Microsoft renounced this seat, deeming it unnecessary. These developments coincided with escalating antitrust investigations. 

Antitrust Investigations and Strategic Narratives

The UK and EU initiated probes in late 2023 and early 2024, followed by formal inquiries from the US Justice Department and Federal Trade Commission in mid-2024. These probes focus on Microsoft, Nvidia, and OpenAI’s alleged dominance in the AI industry.

Although antitrust inquiries are common in big tech, Microsoft’s narrative framing its relationship with OpenAI as typical competitor-partner dynamics stands out. This portrayal may be a strategic move to navigate regulatory scrutiny.

Microsoft’s unique positioning with OpenAI highlights a sophisticated strategy blending partnership and rivalry.
